Terms and conditions of use
The Terminal
The "Terminal," operated by the aixbt team ("we," "us," or "our"). By accessing or using the Terminal, holding aixbt tokens, using our website, APIs, MCP server, CLI, agents, alerts, reports, integrations, or related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to all of these Terms, you are not authorized to use the Services.
These Terms apply to all users of the Services, including users accessing through any holding of aixbt tokens and users interacting with aixbt_agent on external platforms.
1. Eligibility and Access Requirements
1.1 Token Requirement
To access Holder features, you must hold a minimum of 600,000 aixbt tokens. We reserve the right to verify token holdings to ensure compliance with this requirement.
1.2 Holder Access and Limits
Holding AIXBT tokens grants eligibility for access only. It does not purchase, prepay, or guarantee any fixed amount of compute, requests, responses, model capacity, data export volume, uptime, feature availability, or service level. Holder access is subject to published limits, rate limits, usage quotas, credit policies, fair-use rules, abuse controls, and service availability. We may modify, suspend, or discontinue specific features, limits, models, integrations, or access methods prospectively.
1.3 Social Platform Interactions
You may interact with aixbt_agent on external platforms such as X. Social platform interactions may be public, automated, unavailable, rate-limited, moderated, or unanswered. External platform interactions are also subject to the rules and availability of those platforms.
1.4 API, MCP, and CLI Access
API keys, MCP access, and CLI access are for authorized users only. You are responsible for securing your keys and credentials. You may not share, sell, resell, sublicense, rotate, pool, scrape with, or otherwise abuse access credentials. We may revoke, rotate, throttle, or suspend keys or access that violate these Terms, exceed published limits, create security risk, or impose undue load on the Services.
2. Nature of the Content and Interactions
2.1 Informational Use Only – Not Investment Advice
All content, including any news summaries, analysis, commentary, rankings, alerts, reports, API responses, or opinions provided through the Services (the "Content"), is for informational purposes only. None of the Content should be considered investment, legal, tax, accounting, financial, or other professional advice, or a recommendation to buy, sell, or hold any digital asset or other financial product. The Services do not create any fiduciary, advisory, or professional relationship. You should always do your own research and, if necessary, consult qualified professional advisors before making any decisions.
2.2 Unpredictability of Outputs
The Services leverage complex models and dynamic data sources. While we strive for quality and reliability, the Content may be delayed, stale, incomplete, inaccurate, misleading, unavailable, or generated incorrectly. Use the Content at your own risk and discretion.
2.3 User-Generated Interactions
You understand that any prompts, questions, or content you provide ("User Content") may influence outputs from the Services. We encourage users to provide thoughtful, constructive, and respectful input. Misleading, inappropriate, or harmful inputs may result in responses of limited value or potential refusal of service.
2.4 Sharing of Conversations
Users of the Terminal may have the option to share conversations or other outputs from the Services. By choosing to share such content, you grant us the right to publicly display, reproduce, modify, and distribute the shared content in any media, without further consent, notice, or compensation to you.
2.5 Alerts, Reports, and Integrations
Alerts, reports, webhooks, Discord delivery, Telegram delivery, and other integrations are provided for convenience. They may be delayed, missed, paused, capped, throttled, unavailable, or discontinued.
3. User Conduct
3.1 Respectful Interactions
Users agree to be respectful and courteous when interacting with the Services, other community members, and our team. Harassment, hate speech, or other forms of abusive behavior will not be tolerated.
3.2 Prohibited Conduct
You agree not to use the Services to
- Violate any applicable law, regulation, or third-party right;
- Transmit any malicious code, software, or data that may harm the Services or other users;
- Spread misleading or deceptive information with the intent to manipulate or confuse;
- Solicit personal or sensitive information from other users or the Services;
- Bypass, evade, or abuse authentication, rate limits, quotas, credits, access controls, or security controls;
- Share, sell, resell, sublicense, or commercially exploit access to the Services without prior written approval;
- Engage in any activity that interferes with, disrupts, or imposes an undue burden on the Services or related infrastructure.
4. Intellectual Property
4.1 Ownership of Content
Unless otherwise stated, all intellectual property rights in the Terminal, its underlying code, technology, design, and related materials belong to us or our licensors. You may not reproduce, distribute, or create derivative works from our Content without our prior written permission.
4.2 User-Provided Content
By providing prompts, feedback, suggestions, or other content to the Services, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute such User Content for the purpose of operating, improving, and developing the Services.
5. Data Processing and Privacy
5.1 Use of User Data for Analytics and Error Tracking
We reserve the right to process user data—including usage data, query logs, and other related information—for analytics, performance measurement, quality assurance, and error tracking purposes. Such data may be processed on third-party platforms and services to help us identify and resolve issues, improve our models, and enhance the overall user experience.
5.2 Privacy Measures
We value your privacy. While we collect and use data as described above, we strive to adhere to applicable data protection laws and industry best practices. Please refer to our Privacy Policy for more details on how we collect, use, store, and protect your personal information.
6. Subscriptions, Cancellation, and Refunds
6.1 Subscription Fees
Certain features of the Services may be available through paid subscription plans. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (e.g., monthly) depending on the plan you select. Subscriptions, Holder access, API access, MCP access, CLI access, alerts, reports, and agent features are subject to published limits.
Unless we approve otherwise in writing, the Services are licensed for personal or internal use only. Any commercial use of the Services, including integration into third-party products, resale, redistribution, use on behalf of an organization, paid client work, bulk automation, or use to train or evaluate models, requires prior written approval. 6.2 No Refunds
All subscription fees are non-refundable. Once a payment has been processed, no refunds or credits will be issued, including for partial billing periods, unused features, or dissatisfaction with the Services. By subscribing, you acknowledge and accept this no-refund policy.
6.3 Cancellation
You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. You will continue to have access to paid features until that period expires, after which your account will revert to the free tier or lose access to subscription-only features. No prorated refunds will be provided for the remaining portion of any billing period.
6.4 Changes to Pricing
We reserve the right to modify subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle following notice of the change. Your continued use of the paid Services after a price change constitutes your acceptance of the new pricing.
6.5 Usage Limits and Credits
Usage limits, rate limits, quotas, credits, included allowances, reset periods, and overage options may vary by plan, access method, feature, model, or account. Credits and included usage have no cash value, are not transferable, and do not roll over unless we explicitly state otherwise. We may change usage limits or credit policies prospectively.
7. Referral Program
7.1 Eligibility
Participation in the referral program as a referrer is available only to users who hold an eligible paid subscription or Holder tier. Eligibility is evaluated on each accrual cycle. If you cancel, downgrade, or otherwise lose eligibility, referral accruals pause immediately and resume only if and when you regain eligibility.
7.2 Referee Discount
A referee who applies a valid referral code at checkout receives a one-time 10% discount on the first subscription period only. Subsequent renewals bill at the standard rate. Discounts are not stackable with other promotional codes unless we explicitly state otherwise.
7.3 Referrer Earnings
For each validly attributed referee whose subscription remains in an active, trialing, or past-due state, the referrer accrues earnings equal to 10% of the referee's monthly subscription value, denominated in USD. Accruals are recorded no more than once per calendar month per active referral.
7.4 Holding Period
All accruals enter a 30-day holding period from the date of accrual. Accruals are eligible for payout only after the holding period has elapsed without a clawback event.
7.5 Clawbacks and Reversals
We reserve the right to void or reverse any accrual — whether pending, released, or paid — in the event of a refund, chargeback, billing dispute, fraudulent payment, subscription cancellation that returns funds to the referee, or any other circumstance that reduces, eliminates, or returns the underlying revenue. Where an accrual has already been distributed, we may offset future earnings or, in our sole discretion, recover the overpaid amount.
7.6 Attribution Rules
A referral is valid only where:
- The referee is a new customer with no prior matching Stripe customer record.
- The referee's wallet address is distinct from the referrer's.
- The referee and referrer are distinct AIXBT user accounts.
We reserve the right, in our sole discretion, to reject any referral attribution we determine to be self-referral, account farming, collusion, fraud, or otherwise abusive of the program.
7.7 Payouts
Payouts are processed on a monthly cadence in USDC (USD Coin). Payouts are issued only when a referrer's released balance meets or exceeds the minimum payout threshold then in effect (currently $10 USD). USDC is sent to the wallet address linked to the referrer's account at the time of payout; we are not responsible for funds distributed to incorrect, lost, abandoned, or compromised wallet addresses, or for any tax, network, or compliance consequence of such distribution.
7.8 Right to Pause, Withhold, or Terminate
We reserve the right, at our sole discretion and without prior notice, to pause, withhold, reverse, or terminate any accrual, payout, or your participation in the referral program where we suspect fraud, abuse, violation of these Terms, sanctions or other compliance concerns, or conduct we determine to be detrimental to the program, to other users, or to us. Outstanding balances may be forfeited in such circumstances.
7.9 Tax Responsibility
You are solely responsible for any and all tax obligations arising from referral earnings, including reporting and remittance to applicable authorities. We do not provide tax advice. Where required by law, we may request information necessary to comply with reporting obligations and may withhold payouts pending receipt of such information.
7.10 Program Modifications
We reserve the right to modify, suspend, or terminate the referral program, including but not limited to its rates, eligibility criteria, holding periods, minimum payout threshold, payout cadence, or payout currency, at any time and for any reason, with or without notice. Such changes apply prospectively unless we explicitly state otherwise.
8. AIXBT Tokens
AIXBT tokens are intended solely as utility tokens for access within the AIXBT ecosystem. They do not represent shares, equity, debt, ownership, voting rights, governance rights, dividends, revenue or profit participation, redemption rights, or any claim against AIXBT, its affiliates, or any associated business. Token holding does not guarantee access beyond the published limits and policies then in effect. Token values may fluctuate, and we make no representation, warranty, or promise regarding market price, liquidity, resale ability, exchange availability, or future value.
9. Disclaimers and Limitations of Liability
9.1 No Warranties
THE SERVICES AND ALL ASSOCIATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR INVESTMENT CAPITAL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR ANY CONTENT PROVIDED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.3 User Responsibility
You acknowledge and agree that you are solely responsible for your own investment decisions, actions, and any losses or gains that may result from your reliance on the Content.
10. Reporting Issues and Abuse
If you encounter errors, misleading content, abuse, or violations of these Terms, please report such instances via our Telegram group at @aixbt_tech. We may, at our sole discretion, review and address reported issues and take appropriate action.
11. Indemnification
You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, partners, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
12. Modifications to the Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Terminal's website. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of those changes.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any disputes arising out of these Terms or your use of the Terminal.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with any referenced policies such as our Privacy Policy, constitute the entire agreement between you and us regarding the use of the Services and supersede any prior agreements or understandings.
