The AIXBT Platform

The AIXBT platform (the "Platform") is operated by the AIXBT team ("we," "us," or "our"). These Terms and Conditions (the "Terms") govern your access to and use of the Platform and our related services — including our websites, the REST API, the MCP server, alerts, reports, email delivery, integrations, and interactions with our automated agent (aixbt_agent) on external platforms such as X and Telegram (collectively, the "Services"). By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Services.

These Terms apply to all users of the Services, including users who access through token holdings and users who interact with aixbt_agent on external platforms.

1. Eligibility and Access

1.1 Eligibility

You must have reached the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. You may not use the Services if you are prohibited from doing so under applicable law, including applicable sanctions laws.

1.2 Accounts and Credentials

Signing in requires a supported crypto wallet or a verified email address, authenticated through our third-party sign-in provider. You are responsible for your account and for securing the wallets, email accounts, and credentials used to access it. We may suspend access we reasonably believe to be compromised.

1.3 Holder Access

Holder access requires holding at least 600,000 AIXBT tokens in a wallet linked to your account. We may verify token holdings and adjust access when holdings change. Holding AIXBT tokens grants eligibility for access only; it does not purchase, prepay, or guarantee any fixed amount of compute, requests, responses, model capacity, data volume, uptime, feature availability, or service level.

1.4 Limits and Availability

All access — free, paid, trial, or Holder — is subject to published limits, rate limits, usage quotas, credit policies, fair-use rules, abuse controls, and service availability. We may modify, suspend, or discontinue specific features, limits, models, plans, integrations, or access methods prospectively. Features retired from general availability may remain available to accounts that already had them.

You may interact with aixbt_agent on external platforms such as X and Telegram. These interactions may be public, automated, rate-limited, moderated, delayed, unavailable, or unanswered, and are additionally subject to the rules and availability of those platforms.

1.6 API and MCP Access

API keys and MCP access are for authorized users only. You are responsible for securing your keys and credentials. You may not share, sell, resell, sublicense, pool, scrape with, or otherwise abuse access credentials. We may revoke, rotate, throttle, or suspend keys or access that violate these Terms, exceed published limits, create security risk, or impose undue load on the Services.

2. Content and Interactions

2.1 Informational Use Only — Not Investment Advice

All content provided through the Services — including summaries, analysis, commentary, rankings, alerts, reports, and API responses (the "Content") — is for informational purposes only. The Content is not investment, legal, tax, accounting, financial, or other professional advice, and is not a recommendation to buy, sell, or hold any digital asset or other financial product. The Services do not create any fiduciary, advisory, or professional relationship. Do your own research and, where appropriate, consult qualified professional advisors before making decisions.

2.2 Output Quality

The Services rely on automated models and dynamic third-party data sources. Content may be delayed, stale, incomplete, inaccurate, misleading, unavailable, or generated incorrectly. Use the Content at your own risk and discretion.

2.3 User Content

Anything you submit to the Services — queries, prompts, configurations, feedback, or other inputs ("User Content") — must comply with these Terms, and you are responsible for it. We may refuse, limit, or decline to act on inputs that are unlawful, harmful, misleading, or abusive.

2.4 Shared and Public Content

Where the Services allow you to share content publicly (for example, a shared conversation or report link), you grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that shared content in any media. Content you have shared publicly may remain publicly accessible, including after the related feature or your access ends. Where the Services provide an unshare option, you may use it to stop further public display.

2.5 Alerts, Reports, and Integrations

Alerts, reports, email delivery, Telegram and Discord delivery, webhooks, and other integrations are provided for convenience. Deliveries may be delayed, missed, paused, capped, throttled, unavailable, or discontinued.

3. User Conduct

3.1 Respectful Use

Be respectful when interacting with the Services, other users, and our team. Harassment, hate speech, and other abusive behavior are not tolerated.

3.2 Prohibited Conduct

You agree not to use the Services to:

Violate any applicable law, regulation, or third-party right;
Transmit malicious code, software, or data that may harm the Services or other users;
Spread misleading or deceptive information with the intent to manipulate or confuse;
Solicit personal or sensitive information from other users or the Services;
Bypass, evade, or abuse authentication, rate limits, quotas, credits, access controls, or security controls;
Share, sell, resell, sublicense, or commercially exploit access to the Services without prior written approval;
Engage in any activity that interferes with, disrupts, or imposes an undue burden on the Services or related infrastructure.

4. Intellectual Property

4.1 Our Rights

Unless otherwise stated, all intellectual property rights in the Platform, its underlying code, technology, design, and related materials belong to us or our licensors. You may not reproduce, distribute, or create derivative works from our Content without our prior written permission, except as these Terms expressly allow.

4.2 License to User Content

By providing User Content, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute it for the purpose of operating, improving, and developing the Services.

5. Data and Privacy

We process usage data, request logs, and related information to operate the Services and for analytics, performance measurement, quality assurance, and error tracking, including on third-party services. See our Privacy Policy for how we collect, use, store, and protect personal information.

6. Plans, Billing, and Cancellation

6.1 Fees and Billing

Certain features are available through paid subscription plans. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (monthly or yearly), are exclusive of any applicable taxes, and are processed by third-party payment processors. You are responsible for any taxes that apply to your purchase.

6.2 Personal Use; Commercial Authorization

Unless we approve otherwise in writing, the Services are licensed for personal or internal use only. Any commercial use — including integration into third-party products, resale, redistribution, use on behalf of an organization, paid client work, bulk automation, or use to train or evaluate models — requires prior written approval. To request commercial authorization, contact support@aixbt.tech.

6.3 No Refunds

All subscription fees are non-refundable. Once a payment has been processed, no refunds or credits will be issued, including for partial billing periods, unused features, or dissatisfaction with the Services.

6.4 Cancellation

You may cancel your subscription at any time. Your subscription remains active until the end of the current billing period, after which your account reverts to the free tier or loses access to subscription-only features. No prorated refunds are provided.

6.5 Plan and Price Changes

We may modify subscription pricing at any time; price changes take effect at the start of your next billing cycle following notice. We may introduce, modify, or retire plans prospectively; a retired plan may remain available to its existing subscribers until they cancel. Your continued use of the paid Services after a price change constitutes acceptance of the new pricing.

6.6 Usage Limits and Credits

Usage limits, rate limits, quotas, credits, included allowances, reset periods, and overage options may vary by plan, access method, feature, model, or account. Credits and included usage have no cash value, are not transferable, and do not roll over unless we explicitly state otherwise. We may change usage limits or credit policies prospectively.

6.7 Trial and Promotional Access

We may offer time-limited trial or promotional access, such as access passes. Unless we state otherwise, trial access is limited to one per account, is non-transferable, has no cash value, and may be subject to additional conditions. We may modify, pause, or withdraw trial and promotional programs prospectively.

7. AIXBT Tokens

AIXBT tokens are intended solely as utility tokens for access within the AIXBT ecosystem. They do not represent shares, equity, debt, ownership, voting rights, governance rights, dividends, revenue or profit participation, redemption rights, or any claim against AIXBT, its affiliates, or any associated business. Token holding does not guarantee access beyond the published limits and policies then in effect. Token values may fluctuate, and we make no representation, warranty, or promise regarding market price, liquidity, resale ability, exchange availability, or future value.

8. Suspension and Termination

We may suspend or terminate your access to some or all of the Services, with or without notice, if you materially or repeatedly violate these Terms, create security or legal risk, abuse the Services, or where required by law. You may stop using the Services at any time; stopping use does not entitle you to a refund of fees already paid. Provisions that by their nature should survive termination — including licenses to shared content, disclaimers, limitations of liability, and indemnification — survive.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICES AND ALL ASSOCIATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR INVESTMENT CAPITAL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR ANY CONTENT PROVIDED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 User Responsibility

You acknowledge and agree that you are solely responsible for your own investment decisions, actions, and any losses or gains that may result from your reliance on the Content.

10. Reporting Issues and Abuse

If you encounter errors, misleading content, abuse, or violations of these Terms, report them to support@aixbt.tech. We may, at our sole discretion, review and address reported issues and take appropriate action.

11. Indemnification

You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, partners, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Changes to these Terms

We may modify these Terms at any time. Changes are effective immediately upon posting on the AIXBT website, and your continued use of the Services after posting constitutes acceptance. For material changes, we may additionally notify you through the Platform, including by requiring re-acceptance.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any disputes arising out of these Terms or your use of the Platform.
